These Terms of Service apply to all services provided by Crepe & Code LLC, a Wyoming limited liability company (“Crepe & Code”, “we”, “us”), to its customers (“you”). Our services are offered exclusively to businesses, not to consumers.
1. Services and contracts
We provide software and app development, AI and automation solutions, website design, development and hosting, maintenance and support, and video production services. The specific scope, price and term of each engagement are set out in a written offer or individual contract. If an individual contract differs from these terms, the individual contract prevails.
2. Fees and payment
- Fees and the invoicing currency are stated in the offer or contract and exclude any applicable taxes.
- Monthly plans are billed in advance at the start of each billing period. Project fees are invoiced as agreed, typically as a deposit on order and the balance on launch.
- Invoices are due within 14 days. Payment can be made by bank transfer or by card through our payment provider.
- If a payment is more than 30 days overdue, we may suspend hosting and maintenance services after prior written notice until the outstanding amount is paid.
3. Term and cancellation of monthly plans
- Hosting & care runs month to month and can be cancelled at any time, effective at the end of the current billing month.
- Care plans have the minimum term stated in the contract. After the minimum term, they renew monthly and can be cancelled with 30 days’ written notice to the end of a billing month.
- Cancellations must be sent in writing, by email to [email protected].
4. Your responsibilities
You provide the texts, images, logos, data and other materials needed for your project and confirm that you hold the rights to use them. You give feedback and approvals within a reasonable time. Delays caused by missing materials or approvals may shift agreed timelines.
5. Ownership and rights
For project work, you receive the rights to use the final deliverables created specifically for you (such as software, designs, websites and films) once all fees have been paid in full. For monthly plans, you receive a right to use the deliverables for the duration of the plan; a transfer after the plan ends can be agreed in the contract. Pre-existing tools, code libraries and know-how remain ours or our licensors’, and are licensed to you as far as needed to use the website.
6. Hosting and availability
We host websites and applications with professional infrastructure providers and take reasonable measures to keep them available and secure, including backups and monitoring. Short interruptions for maintenance or caused by third-party providers can occur and do not constitute a breach of contract.
7. Liability
We are liable without limitation for damage caused intentionally or by gross negligence. Otherwise, our total liability under a contract is limited to the fees paid by you under that contract in the twelve months before the event giving rise to the claim. We are not liable for indirect or consequential damages, such as lost profits or lost data that could have been prevented by reasonable backups on your side.
8. Confidentiality
Both parties keep confidential any non-public information received from the other party in connection with the engagement and use it only for the purpose of the engagement.
9. Governing law
Unless otherwise agreed in the individual contract, these terms and all contracts with us are governed by the laws of the State of Wyoming, USA.
